The Key Proxy Vote survey is an annual survey of the discretionary voting practices of investment managers and proxy voting services(collectively referred to as proxy voting survey providers) that vote the proxy ballots of Canadian companies whose shares are owned by Canadian pension plans and other institutional investors. If your investment manager did not respond to the survey, declined to respond to the survey or simply did not receive the survey there are some steps that you can take to encourage them to respond to the survey in the future. Encouraging your proxy voting agents to respond to SHARE's survey promotes transparency in the investment industry and allows asset owners to gain an understanding of proxy issues and the justifications for voting decisions that were made on your behalf.

If your manager received a survey and didn't respond (see list of firms that did not respond to the 2012 survey), please let them know that you would like them to respond to the survey in the future and inform SHARE of your communications.

If your manager did not receive a survey and you would like them to provide you with a record of how they voted, you can download a copy of the survey HERE and send it to your manager or proxy service provider and ask them to respond.

In addition, we also encourage trustees to oversee how their funds' voting rights are exercised as part of their pension governance responsibilities. We recommend that trustees do this by taking the following steps:

1. When your fund selects an investment manager or proxy voting service, include the firm's proxy voting record in the selection criteria.

2. Review the proxy voting record of your plan's investment manager or proxy voting service and discuss it with them. Discuss with them how they voted on the issues in the Key Proxy Vote Survey. Ask for an explanation of their votes on issues in the survey and on other issues of interest to you.

3. Establish proxy voting guidelines that match the geographical scope of your plan's investments. For example, if the plan has global investments, establish proxy voting guidelines with a global scope.

4. In your plan's statement of investment policies and procedures (SIPP), set out the roles and responsibilities for voting your plan's proxies. Trustees should retain the discretion to direct proxy voting if they choose to do so. The SIPP should make reference to the plan's proxy voting guidelines.

5. Give investment managers, proxy voting services, or other voting agents a copy of your plan's proxy voting guidelines.

6. Monitor how your plan's proxies are being voted to ensure they are being voted according to the guidelines.
